Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“Customer,” “you,” or “your”) and Michael S Donghia, a sole proprietor doing business as JobStream, located at 178 N Laurel St, Manheim, PA 17545 (“JobStream,” “we,” “us,” or “our”). These Terms govern your access to and use of the JobStream field service management software-as-a-service platform, including the marketing website at jobstreamhub.com, the application at app.jobstreamhub.com, and any related features, APIs, or services (collectively, the “Service”).

By creating an account, clicking “I agree,” or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. If you register on behalf of a business, you represent that you have authority to bind that business to these Terms. You are responsible for keeping your login credentials confidential and for all activity under your account.

2. The Service

JobStream provides cloud-based tools for home service businesses to manage customers, quotes, jobs, scheduling, invoicing, payments, and related operations. Specific features available to you depend on your subscription plan and may change over time. We may add, modify, or remove features at our discretion.

3. Subscription, Fees, and Payment

Paid plans are billed in advance on a recurring basis (monthly or annually, as selected). Fees are non-refundable except where required by law. You authorize us (and our payment processor) to charge your payment method for all fees due. If payment fails, we may suspend or terminate your access until the balance is paid. We may change pricing on renewal with at least 30 days’ notice.

4. Your Data

You retain ownership of all data you upload to or generate within the Service (“Customer Data”). You grant JobStream a limited, worldwide license to host, copy, process, transmit, and display Customer Data solely as needed to operate and improve the Service, provide support, prevent fraud, and comply with law.

You are solely responsible for the accuracy, legality, and appropriateness of Customer Data and for obtaining all consents required to upload it (including consent from your end customers to process their personal information and to receive SMS or email communications sent through the Service).

5. Acceptable Use

You agree not to:

Use the Service to send spam, unsolicited marketing, or communications that violate TCPA, CAN-SPAM, or similar laws;
Upload malware, reverse engineer the Service, or attempt to gain unauthorized access to any system;
Resell, sublicense, or provide the Service to third parties outside your own business without written permission;
Use the Service to store or transmit content that is illegal, infringing, harassing, or violates any third party’s rights;
Interfere with or disrupt the integrity or performance of the Service or the data it contains.

6. Third-Party Services and Integrations

The Service integrates with third-party services including, without limitation, Intuit QuickBooks Online, Stripe, Twilio, SendGrid, and Amazon Web Services. Your use of those third-party services is governed by the applicable provider’s own terms and privacy policies. JobStream is not responsible for the availability, accuracy, or behavior of any third-party service.

If you connect a QuickBooks Online account, you authorize JobStream to read from and write to that account on your behalf in accordance with the scopes you approve during authorization. You may disconnect the integration at any time from within the Service or from your Intuit account settings.

7. Intellectual Property

JobStream and its licensors own all right, title, and interest in and to the Service, including all software, designs, logos, and content (other than Customer Data). No rights are granted to you other than the limited, revocable, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms.

8. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant JobStream a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

9. Confidentiality

Each party agrees to protect the other’s non-public business information disclosed in connection with the Service using the same degree of care it uses to protect its own confidential information, and in no event less than a reasonable standard of care.

10. Termination

You may cancel your subscription at any time from your account settings. We may suspend or terminate your account for breach of these Terms, non-payment, or if we reasonably believe your use poses a security or legal risk. Upon termination, your right to use the Service ends immediately. We will make Customer Data available for export for 30 days after termination, after which we may delete it.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. JOBSTREAM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBSTREAM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF JOBSTREAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. JOBSTREAM’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO JOBSTREAM DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will defend, indemnify, and hold harmless JobStream from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (a) your Customer Data, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any third-party right.

14. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Lancaster County, Pennsylvania, and each party consents to the jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
